We provide the following TS services:

Buy-side financial due diligence: A key element of the pre-acquisition transaction process is the financial due diligence. We work with our clients to co-develop a scope of investigation to meet with their requirements.

In addition to the financial due diligence investigation offered by Transaction Support, we will develop the scope to cover any specific client concerns using specialists from other areas with Ernst & Young. This may include advice on taxation, technology, employment matters or commercial issues.

In reporting our findings, we ensure that the key strategic, pricing and assurance issues are addressed in an agreed deliverable format to suit the client’s needs. At the same time, we highlight the key action points and considerations for our clients arising from our review.

Vendor due diligence: We assist our clients in maximizing disposal proceeds through preparation and presentation of the business to new investors.

Vendor due diligence is a key component of an efficient sales process as it allows for multiple purchasers to be simultaneously involved in a competitive auction process with minimal disruption to the client and transaction timetable. In short, our services can help meet our client’s agenda – maximizing value and minimizing disruption.
