Buy-side due diligence
We assist acquirers/investors pre-acquisition in analyzing target companies to identify:
- Factors which may affect the strategic rationale of the transaction
- The value assessed by the acquirer (including providing information to assist negotiation of downward value changes)
- Protection required by the acquirer in the sale and purchase agreement
- Issues that may need to be dealt with post-acquisition
Our approach is flexible, focusing on the critical factors affecting historical operating results, as well as on the entity’s ability to generate sustainable earnings. We work with our clients to design a customized approach to due diligence that focuses on the deal issues that matter most.
Sell-side services
Sell-side services include sell-side due diligence, advisory services and vendor due diligence which help our clients:
- Prevent value erosion as we help sellers to identify potential buyer issues
- Accelerate transaction close as it frees up management time and identifies issues to bring to the attention of the seller early in the process
- Provide analyses that help potential investors become comfortable quickly, allowing the offers received to be of higher quality
- Reduce disruption to the company’s operations and free up management time
Our sell-side services are most useful when there are several potential acquirers interested in the entity being disposed of (e.g., in an auction process).
