Top four governance trends

Companies and boards are being increasingly challenged to demonstrate greater accountability and transparency. They must also operate under a framework in which investors have greater input into decisions around corporate governance matters.

This piece reviews the emerging trends coming out of the 2012 season and how these trends compare with the historical governance landscape. It is derived from our corporate governance database, which includes governance data from proxy statements dating back to 2005 for US-registered companies in the Russell 3000.

The most dramatic shift this year has been the rise in company-shareholder engagement, and engagement has been a significant component of each of the top trends.
