Preparing for an IPO is all about that: preparation. That was the resounding message shared by panelists Michael B. Capilouto of EY; Dr. Pamela Marrone, CEO/Founder of Marrone Bio Innovations; Ricardo Nuñez, SVP, General Counsel and Corporate Secretary of HD Supply; and David Peinsipp, Partner with Cooley LLP, in a discussion moderated by Barclays Managing Director Will Bowmer.
Well-prepared companies, panelists agreed, begin the IPO process 12 to 24 months early. Start with the question, “Are you ready to be a public company?” If not, then ask, “What aspects must you bolster?”
IPO readiness requires the right team, from both inside and outside your company. While holes will need filling, engage experienced external advisors and employ strategies to keep key team members engaged throughout the IPO and beyond.
During an IPO, you have to focus on two things: running the business and executing the IPO. Consider having other team members take over key responsibilities of the day-to-day business while you, the CEO and CFO, focus on the IPO.

Will Bowmer is a Managing Director at Barclays and Head of the bank’s Technology, Media and Telecommunications – Equity Capital Markets Group. Based in Menlo Park, California, Mr. Bowmer has over 20 years of experience originating and executing capital markets transactions for companies in Silicon Valley and around the world. Previously, Mr. Bowmer was based in Hong Kong and Tokyo for 14 years. During that time, he ran Lehman Brothers’ Equity and Debt Capital Markets businesses for all of Asia. Mr. Bowmer began his career in New York as an attorney at Skadden, Arps, Slate, Meagher & Flom where he specialized in corporate finance and mergers and acquisitions.
Michael B. Capilouto is the Transaction Accounting and Private Equity Leader for Financial Accounting Advisory Services at Ernst & Young LLP. Advising on a wide range of capital markets transactions, including IPOs, debt offerings, and carve-out and spin-off transactions, Mike helps enterprises execute complex transactions that unlock and enhance value. With his up-to-date knowledge, experience and regulatory insight, Mike identifies important questions early and finds the right answers quickly, helping clients get in front of the deal. Mike works with clients in many sectors, including pharmaceuticals, consumer products, retail, technology and telecommunications.
Dr. Pamela Marrone is CEO/Founder of Marrone Bio Innovations (MBI), a company she started in 2006 to discover and develop natural products for pest management in agriculture and water. Prior to MBI, Dr. Marrone founded AgraQuest and served as its CEO, Chairman and President until March 2006. Before AgraQuest, she was founding President and business unit head for Entotech, Inc., a biopesticide subsidiary of Novo Nordisk. She started her career at Monsanto, where she led the Insect Biology group. Pam has a BS in Entomology with honors and distinction from Cornell University and a PhD in Entomology from North Carolina State University.
Ricardo J. Nuñez is SVP, General Counsel and Corporate Secretary at HD Supply. Prior to HD Supply, Mr. Nuňez served as Vice President of Legal Operations at Home Depot, Senior Counsel at GE Energy and Counsel at Esso Inter-America Inc., the Exxon affiliate responsible for operations throughout Latin America and the Caribbean. He began his legal career at Steel, Hector & Davis. He currently sits on the boards of The Westminster Schools and Atlanta Speech School. Mr. Nuñez holds a bachelor's degree in Economics from the Wharton School at the University of Pennsylvania and a JD from Columbia Law School.
David G. Peinsipp is a partner in the Cooley Business department based out of the firm’s San Francisco office. David’s practice centers on public and private securities offerings and representation of both emerging and public companies in a variety of matters, including formation and financing activities, SEC reporting and compliance, corporate governance, and mergers and acquisitions. He represents investment banks, venture capitalists and financial institutions in a variety of equity, debt and equity-linked transactions. His recent public offering clients include Goldman, Sachs & Co.; Jefferies LLC; Leerink Swann; Morgan Stanley & Co.; Rigel Pharmaceuticals; Yelp; and Zynga.
