Transaction Law

Buy-side due diligence

  • Providing timely advice on various legal aspects of a transaction, from due diligence to legal issues relating to post-transaction integration
  • Analyzing the legal exposure of the target to provide a review of legal liabilities, exposures and attributes of a target (company or business) in any transaction (acquisition, merger, spin-off, joint venture, financing/refinancing, etc.)

Sell-side due diligence

  • Working with clients to develop a legal efficient selling/carve-out structure to undertake transactions and helping our clients manage the legal benefits, costs and exposures
  • Providing vendor due diligence services or reviews to analyze the potential historical legal exposure of the target to help our client prepare better for the transaction

Buy- and sell-side legal structuring

  • Advising clients undertaking transactions on efficient acquisition or sale structures consistent with their commercial drivers, and help in protecting them against potential legal risks in the targeted business
  • Buy side: advice on appropriate and efficient acquisition structures and assistance in setting up transaction structures
  • Sell side: advising on transaction/carve-out structures, including legal steps required pre- and post-transaction and assistance in setting up structures

Buy- and sell-side advisory services

  • Assistance in drafting/reviewing and negotiating transaction documentation
  • Assistance and advice in dealing with competition/antitrust legal matters
