Reforma mezinárodního zdanění se nezadržitelně blíží

O aktuálních diskusích ohledně revolučních změn mezinárodního zdanění probíhajících ať už na půdě OECD, tak na úrovni EU vás průběžně informujeme (např. ZDE, ZDE, ZDE, ZDE či ZDE).

1. července došlo v rámci tohoto procesu k dalšímu významnému posunu. 130 zemí/jurisdikcí [1] (včetně České republiky) vydalo pod hlavičkou OECD společné prohlášení, ve kterém se hlásí k principům dvoupilířové reformy mezinárodního zdanění. Prohlášení indikuje ambici dotažení detailních technických parametrů do října tohoto roku, přičemž předpokládaný náběh nových pravidel je rok 2023.

Pilíř I – vybrané parametry:

  • Nová pravidla by měla dopadat na nadnárodní společnosti s obratem přes 20 miliard EUR [2] a ziskovostí nad 10 %.
  • Nová pravidla by neměla dopadat na oblasti těžby a regulovaných finančních služeb.
  • 20 až 30 % reziduálního zisku (tj. zisk přesahující 10 % tržeb) bude alokován “zákaznickým jurisdikcím” (market jurisdictions with nexus [3]) na základě alokačního klíče odvozeného z tržeb.
  • Výše zisku se bude obecně odvozovat z finančních výkazů (s určitými úpravami).
  • Prohlášení naznačuje, že po implementaci tohoto pilíře by mělo dojít k odstranění případných daní z digitálních služeb.

Pilíř II – vybrané parametry:

  • Hlavními stavebními prvky jsou 

o   Income Inclusion Rule (IIR), které obecně dodaňuje nízce zdaněný příjem dceřiné společnosti na úrovni mateřské společnosti;

o   Undertaxed Payment Rule (UTPR), které obecně odpírá uznatelnost (resp. provádí odpovídající úpravu) v situaci kdy nízce zdaněný příjem dceřiné společnosti není „podchycen“ pravidlem IIR;

o   Subject to Tax Rule (STTR) umožňující zdrojové jurisdikci uplatnit určitou úroveň zdanění na vybrané nízce zdaněné vnitroskupinové platby.

  • Tato nová pravidla by se obecně měla uplatňovat na nadnárodní společnosti s tržbami přesahujícími 750 milionů EUR. Nicméně státy mohou uplatňovat pravidlo IIR i u „jejich“ skupin s tržbami pod tímto limitem.
  • Tato pravidla by neměla dopadat na penzijní a investiční fondy (pokud jsou UPE).
  • Obecně by se při aplikaci těchto pravidel mělo vycházet z efektivní daňové sazby dle jurisdikce, přičemž minimální sazbou by mělo být alespoň 15 %.
  • Z aplikace pravidel by měly být možné určité „substance“ a „de minimis“ výjimky.

    Global tax reform is looming

    We have kept you informed about current discussions at both the OECD and the EU levels concerning the revolutionary changes in global taxation (see our previous TAs e.g. HERE, HERE, HERE, HERE or HERE).

    On 1 July, another significant step was taken in the process. 130 jurisdictions [1] (including the Czech Republic) issued a joint Statement under the OECD framework, in which they have joined a new two-pillar plan to reform international taxation rules. The Statement indicates an ambition to finalize the detailed technical parameters by October 2021, with expected start of application of the new rules from 2023.

    Pillar One – selected parameters:

    • The new rules should apply to multinational enterprises (MNEs) with global turnover above €20 billion [2] and profitability above 10%,
    • The new rules should not affect the extractives and regulated financial services sectors.
    • Between 20-30% of residual profit (defined as profit in excess of 10% of revenue) will be allocated to market jurisdictions with nexus [3] using a revenue-based allocation key.
    • The amount of profit will be determined by reference to the financial statements (with certain adjustments).
    • The Statement indicates that once this Pillar is implemented, any digital services taxes should be removed.

    Pillar Two – selected parameters:

    • The main building blocks are:
      1. Income Inclusion Rule (IIR), which generally imposes top-up tax on a parent entity in respect of a low taxed income of a constituent entity; 
      2. Undertaxed Payment Rule (UTPR), which generally denies deductions (or requires an equivalent adjustment) to the extent the low tax income of a constituent entity is not subject to tax under the IIR;
      3. Subject to Tax Rule (STTR) that allows source jurisdictions to impose limited source taxation on certain related party payments subject to tax below a minimum rate.
    • These new rules should generally apply to MNEs with revenues exceeding €750 million. However, countries are free to apply the IIR to "their" MNEs even if they do not meet the threshold.
    • These rules should not apply to pension funds and investment funds (that are UPEs).
    • In general, the effective tax rate of each jurisdiction should be used for the purposes of the IIR and UTPR, with a minimum tax rate of at least 15%.
    • Certain "substance" and "de minimis" carve-outs from the application of the rules should be possible.
