EY Tax Club – EU Law impact on Luxembourg taxes: ATAD 2, new state aid investigations and the CJEU view on access to Tax Directives

The Luxembourg implementation of ATAD 2, which will significantly expand the current anti-hybrid mismatch rules, will not be the only EU-law related challenge that may affect Luxembourg companies: On 26 February the Court of Justice of the EU rendered its judgement in six cases (some of which concerning Luxembourg companies) concerning the availability of benefits under the Parent-Subsidiary and Interest and Royalties Directives, outlining the Court’s thoughts on how to determine whether a structure is abusive. In addition, on 7 March the European Commission opened another state aid investigation into Luxembourg tax rulings, this time concerning notional deductions under interest free loans. Jurjan Wouda Kuipers, Luxembourg Tax Partner in charge of EY’s Financial Services International Tax Desks in New York, and Anja Taferner, Executive Director, International Tax, will analyze what these developments mean for Luxembourg companies and how they could address these challenges.

AIF Club - Tax Update - Open workshop

Our annual tax update aims to inform market participants operating in the alternative fund sector of recent changes in the tax environment which may impact them. We anticipate addressing several key emerging topics which will be relevant for the 2018/2019 session:

The Multilateral Instrument (MLI) under the OECD’s BEPS (Base Erosion and Profit Shifting) initiative would enter into force on 1 July 2019.

Many Double Tax Treaties will be amended by this MLI, introducing a Principal Purpose Test as a criterion to enjoy treaty benefits.

The provisions of the Anti-Tax Avoidance Directive of the European Union (EU) must be implemented in the domestic tax legislation of the EU member states by 1 January 2018. Significant changes are expected in certain jurisdictions, especially the implementation of an EU-wide General Anti-Abuse Rule.

In addition, we will discuss the alignment of both regulatory and tax substance which is even more critical in the design of new fund products and for existing holding locations.
