Navigating the Asean impact of US corporate compliance expectations

On 23 September 2024, the US Department of Justice updated its Evaluation of Corporate Compliance Programs (ECCP) guidance, a globally recognized framework for assessing the design, implementation and effectiveness of corporate compliance programs. Key updates include a stronger emphasis on identifying and managing risks associated with emerging technologies (e.g., artificial intelligence), enhancing whistleblower protections, compliance integration into M&A activity as well as ensuring compliance functions are adequately resourced with access to data and resources.

Why this matters to Asean organizations

The ECCP establishes rigorous global compliance standards that are directly relevant to Asean businesses with a broadly applicable nexus to US stakeholders (e.g., business or trade connection, use of the US financial system or technologies or having US employees). Similarly, many Asean organizations are subject to the US Foreign Corrupt Practices Act of 1977 (FCPA), which holds businesses accountable for public-sector corruption and misconduct even outside US borders. The ECCP provides a framework for mitigating these risks by guiding organizations on how to design effective compliance programs, prevent bribery, and address misconduct proactively to avoid severe penalties, reputational damage or loss of business opportunities. Aligning with the ECCP helps Asean organizations to remain competitive while navigating the complexities of FCPA enforcement in a globally interconnected regulatory environment.
