On 26 March 2026, it was announced that The City Government (“Byrådet”) of Oslo recommended to divest Romerike Biogassanlegg (RBA) while simultaneously entering into a long‑term food waste treatment agreement with Alltec. The divestment was formally approved by Oslo's City Council (“Bystyret”) and the transaction closed on 30 June 2026.
RBA is located in Nes Municipality and has been operational since 2012, with a design capacity of 50,000 tonnes of food waste per year. The facility has primarily processed municipal food waste, supplemented by limited volumes of commercial food waste. However, constraints on third‑party waste intake, combined with insufficient feedstock volumes, have prevented the facility from operating at optimal utilization. Following the rejection of a proposed inter‑municipal solution in 2024, Oslo Municipality decided to pursue a sale of RBA to a commercial operator.
The transaction attracted strong interest from a broad range of investors. Three commercial bidders were invited to the final phase, all of whom submitted offers to acquire the facility and take over the treatment of food waste from Oslo. Alltec's offer was assessed as the most attractive overall, with an upfront payment to Oslo Municipality for Romerike Biogassanlegg alongside a long-term contract for the Municipality's future food waste treatment.
Alltec is a Norwegian company focused on providing comprehensive engineering solutions, spanning design and construction through to operation and maintenance, with specialisation in renewable energy systems and proven expertise in biogas, hydrogen, and ammonia. The company is owned by FDE (La Française de l’Energie), one of the leading low-carbon energy production platforms in Europe.
The transaction included a broad spectrum of EY-Parthenon and broader EY services, including Corporate Finance, Financial Due Diligence, Tax Services related to the valuation of tax assets, and Financial Accounting Advisory Services, including establishing the opening balance sheet and assisting with the transfer of RBA into a newly established standalone entity.
