EY-Parthenon advises Coop Norge on its cash offer for MatvareExpressen

EY-Parthenon acted as the financial advisor to Coop Norge on its voluntary cash offer for MatvareExpressen, a leading B2B grocery player.

On 15 June 2026, it was announced that EY-Parthenon acted as the financial advisor to Coop Norge SA ("Coop Norge") in connection with its voluntary cash offer to acquire all issued and outstanding shares of MatvareExpressen AS ("MVE").

 

Under the terms of the offer, Coop Norge is offering NOK 267.60 per share, valuing the total shares of MVE to approximately NOK 325 million. The Board of Directors of MVE has unanimously decided to recommend that shareholders accept the offer.

 

MVE is a leading independent B2B supplier of groceries in Norway, serving kindergartens, schools, nursing homes and corporate canteens through a fully digital platform and its own distribution solutions. Since 2021, the company has grown revenue from around NOK 100 million to approximately NOK 500 million in 2025, while building strong positions across Rogaland, Vestland, Agder and Eastern Norway.

 

Coop is Norway’s second-largest grocery operator and currently has approximately 1,200 grocery stores and builders’ merchants under the Obs, Extra, Coop Prix, Coop Mega, Coop Marked, Matkroken, Obs BYGG and Coop Byggmix chain concepts. Coop is owned by its customers through memberships in their local cooperative societies, which together have more than 2.3 million members. Coop Norge safeguards central shared functions for the cooperative societies.

 

The offer is part of Coop’s broader growth strategy and reflects a clear ambition to strengthen its focus on grocery sales to new customer groups, with MVE considered a key platform for growth within the B2B segment.
