EY-Parthenon advises Repsol on the acquisition of a 44% stake in Valtec Premium Lubricants

EY-Parthenon teams from Romania and Spain advised Repsol, a global energy company active across the entire oil and gas value chain, on the acquisition of Valtec Premium Lubricants, a long‑established distributor of automotive and industrial lubricants, as part of a newly formed joint venture with Valtec B.V.

EY-Parthenon provided buy-side advisory services to Repsol during the transaction process, comprising of financial and tax due diligence services. The transaction obtained the necessary approvals form the Romanian Competition Council in January 2026.

Valtec Premium Lubricants is a leading player in the distribution of automotive and industrial lubricants, operating a logistics hub in Bucharest and serving 17 Central and Eastern European markets, with notable strength in Romania and Bulgaria. The company has been Repsol’s exclusive regional distributor since 2008, has grown its sales by 60% since 2021 and maintains a diversified portfolio that includes lubricants as well as ancillary products such as professional hand‑hygiene solutions and personal protective equipment.

EY-Parthenon supported Repsol with financial and tax due diligence services, leveraging its regional transaction expertise to assist Repsol in understanding Valtec Premium Lubricants’ business performance, commercial positioning and tax compliance profile, under the leadership of Liliana Busoiu and Luis Gago Coello, Miruna Enache and Anil Bharwani Alwani. The teams were coordinated by Alexandru Ontica, Alina Cinca and Miguel Duran Tascon for the financial stream and Carmen Afanasenco and Henar Ramos Alvarez for the tax stream.
