The new reform published on July 26 aims to establish new regulations on obligations, infractions and the process of declaration and updating of final beneficiaries, which now includes agents, branches and brokerage positions operating in Nicaragua.
Companies must keep their basic information updated on their legal representation, board of directors, domicile, amendments to the articles of incorporation, among other data, as well as keep a history of the final beneficiaries declared. Dissolved and liquidated companies must safeguard files and information on the declared final beneficiaries within 5 years of the dissolution.
Companies that do not have the corporate information and documentation of their foreign shareholders (legal entities) when they make their declaration and/or update, will have the obligation to sign a notarized declaration through the legal representative for the provision of said information and documentation within a period of 3 months. Failure to comply will be considered an infraction with possible sanctions.
Brokerage firms must declare and update the information, including their registration code and that of the corresponding stock exchange.
Las agencias y sucursales extranjeras deben presentar en el momento de inscribirse en el Registro Mercantil de Nicaragua, su certificado de declaración o actualización de beneficiario final emitido por la institución correspondiente en su país de origen. En caso de no contar con este certificado, deberán suscribir una declaración notarial otorgada ante notario público nicaragüense que contenga dicha información.
Asimismo, se reforma el capítulo relacionado a las multas, las cuales se aplicarán conforme al capital social de la sociedad.
