UKCloud Limited (“UKC”) and Virtual Infrastructure Group Limited (“VIG”) (together “the Companies”) – in Compulsory Liquidation

Following a petition filed by the directors of UKCloud Limited (“UKC”) and its parent company Virtual Infrastructure Group Limited (“VIG”) (together “the Companies”), a hearing was held on 25 October 2022 at which it was ordered that the Companies be wound up under the provisions of the Insolvency Act 1986 (as amended), and that Gareth Jonathan Allen be appointed Official Receiver and Liquidator. Joanne Robinson and Alan Michael Hudson of Ernst & Young LLP (EY) were appointed Special Managers upon the application of the Official Receiver and Liquidator to help manage the affairs, business and property of the Companies, in accordance with the powers and duties contained in the order appointing them.

J Robinson and A M Hudson were appointed Special Managers of the Companies by the High Court to help manage the affairs, business and property, without personal liability.  
The Special Managers, their firm, partners, employees, advisers, representatives and agents and the Official Receiver and liquidator shall incur no personal liability under, or by virtue of, this letter or email, nor in relation to any related matter or claim howsoever, whenever, and wherever arising, and whether such claim is formulated in contract and/or tort or by reference to any other remedy or right, and in whatever jurisdiction or forum.
No liability (whether based in tort or contract or statute or otherwise) including, without limitation, any liability in connection with non-performance or breach or termination (whether by repudiation, disclaimer or otherwise), or any penalty or liability for liquidated damages, arising from actions or inactions of either the Official Receiver and liquidator or the Special Managers shall give rise to any liquidation expenses unless expressly accepted in writing.
J Robinson and A M Hudson are licensed in the United Kingdom to act as Insolvency Practitioner by The Insolvency Practitioners Association.
The Special Managers may act as data controllers of personal data as defined by the UK General Data Protection Regulation (as incorporated in the Data Protection Act 2018), depending upon the specific processing activities undertaken. Ernst & Young LLP and/or the Companies may act as a data processor on the instructions of the Special Managers. Personal data will be kept secure and processed only for matters relating to the Special Managers’ appointments.
