Power by Britishvolt Ltd (in Administration) (“the Company”)

On 17 January 2023, the Company entered Administration and Dan Christopher Hurd, Joanne Honor Robinson and Alan Michael Hudson, partners of EY Parthenon, were appointed as Joint Administrators (“the Administrators”). The appointment was made by the directors in accordance with paragraph 22 of Schedule B1 to the Insolvency Act 1986.

No other entity in the BritishVolt group is in Administration.

On 26 February 2023, the Joint Administrators completed a sale of the majority of the business and assets of the Company to Recharge Production UK Limited (“the Purchaser”) for an undisclosed sum.

Employees

The remaining employees of the Company have been transferred to the Purchaser, in accordance with the Transfer of Undertakings (Protection of Employment) Regulations 2006 (“TUPE”)

Investors/shareholders

It is anticipated that the creditors of the Company will not be repaid in full.

Given the above, it is expected that there will be no funds available for distribution to shareholders (and the Company’s shares have no value following the appointment of the Administrators).

I regret that no funds are available to maintain the register of members and it is not possible to register any transfers of shares or changes in shareholder details.

Creditors/suppliers

Please note that debts incurred by the Company before our appointment will claims against the Company. Any sums due to the Company arising after our appointment must be paid in full and without set-off against any debts incurred by the Company prior to our appointment.

If you wish to make a claim as a creditor, you may do so by requesting a Unique ID by sending an email to pbvadministration@uk.ey.com. Alternatively, you may complete and return the proof of debt claim form located in the 'Company Documents' section below and send it by email to pbvadministration@uk.ey.com, Please ensure that all documents in support of your claim are provided alongside your proof of debt claim form.

The affairs, business and property of the Company are being managed by the Joint Administrators, Daniel Christopher Hurd, Joanne Honor Robinson and Alan Michael Hudson, who act as agents of the Company only and without personal liability. As licensed insolvency practitioners, Daniel Christopher Hurd, Joanne Honor Robinson and Alan Michael Hudson are bound by the Insolvency Code of Ethics when carrying out all professional work relating to the Administration.
Daniel Christopher Hurd is licensed in the United Kingdom to act as an insolvency practitioner by The Institute of Chartered Accountants in England and Wales. Joanne Honor Robinson and Alan Michael Hudson are licensed in the United Kingdom to act as insolvency practitioners by The Insolvency Practitioners Association.
The Joint Administrators may act as data controllers of personal data as defined by the UK General Data Protection Regulation (as incorporated in the Data Protection Act 2018), depending upon the specific processing activities undertaken. Ernst & Young LLP and/or the Company may act as a data processor on the instructions of the Joint Administrators.
